COMMERCIAL REAL ESTATE
The commercial real estate litigation practice of Street & Rudy is focused on income-producing real estate properties. Disputes may involve property acquisition and financing. Or the claim may focus on development, construction, management or easing. The parties may be land sellers, developers, lenders, contractors, or tenants. The claims often involve tort, equitable, and insurance issues unique to real property rights. Construction disputes are often resolved in arbitration where Street & Rudy has extensive experience.
BREACH OF FIDUCIARY DUTY
More than 50 years ago the Texas Supreme Court reaffirmed that confidential relationships “may arise informally from ‘moral, social, domestic or purely personal’ relationships” as well as from technical fiduciary relationships. If the relationship exists, then a duty of utmost fairness and good faith exists. Existence of the relationship and scope of the resulting duties are very fact specific. This claim may arise between family members, partners, limited liability company (LLC) members, principal-agent, trustee-beneficiary, or where there is a special relationship of trust and confidence.
FRAUDULENT REPRESENTATION
A fraudulent misrepresentation claim can arise out of many different circumstances. The party against whom the claim is made must have made a representation that was false with the intention that the other party rely on it and, when made, the person making the representation must have known that the representation was false or made the statement recklessly without knowledge of its truth. The party making the claim must have relied on the fraudulent misrepresentation and suffered harm as a result of it.

Federal White Collar Criminal Defense
Enforcement continues to be a high priority at both the state and federal government levels. On July 11, 2018, President Trump signed Executive Order 13844, establishing the Task Force on Market Integrity and Consumer Fraud. According to the Department of Justice, this new task force “is part of a government-wide initiative to combat fraud against consumers – particularly the elderly, service members, and veterans – and corporate fraud that victimizes the general public and the government. It is reasonable to project that this task force will increase the number and complexity of fraud cases brought by government entities.

ALTERNATIVE DISPUTE RESOLUTION
Mr. Street and Mr. Rudy are panel members for national arbitration providers. They have conducted hundreds of arbitrations and mediations and guided many clients through the ADR process. If, for whatever reason, either before or during litigation, you want to explore an alternative to trial, arbitration and mediation have become increasingly popular. Both arbitration and mediation employ a neutral third party to oversee the process. Arbitration may be conducted by a single arbitrator or by a panel of multiple arbitrators who take on a role like that of a judge and render a decision. Mediation, on the other hand, is generally conducted with a single mediator who does not judge the case but facilitates discussion seeking resolution of the dispute, If the parties come to an agreement, the parties will put their mediated agreement in writing and sign it as a binding contract.

In Texas, businesses are created and operated in one of several forms. Sole proprietorship, Partnership, Corporation, and Limited Liability Company, are but a few of the options. Decisions regarding the best business structure under the facts should be made in consultation with an attorney and an accountant. Issues regarding tax, liability, management, continuity, transferability of ownership interests, and formality of operation need careful analysis.
Business - Employment Termination
Employers have a general duty to investigate discrimination, harassment, threat, or safety problem faced by an employee and employees face possible adverse consequences for engaging in or failing to report such problems. Since Texas employees are, for the most part “at-will” employees, a successful legal action for wrongful termination by an employee is extremely difficult in the absence of discrimination and retaliation by an employer.
Probate & Estate Administration
In Texas Probate the Court initiates the process by which the person named by the deceased person’s Will goes about disposing of property as directed in the Will, and oversees estates where there is no Will and Will disputes. In addition to direct representation in the Probate process, participants such as executors, administrators, and trustees require independent legal advice regarding their duties.
